About the Role

Description:


Key Responsibilities:



- Lead end-to-end IPO process, including drafting, vetting, and filing of DRHP/RHP with Securities and Exchange Board of India (SEBI) and stock exchanges.



- Ensure compliance with SEBI ICDR Regulations, Listing Obligations (LODR), and stock exchange requirements.



- Coordinate with merchant bankers, legal counsels, registrars, auditors, and regulators for IPO execution.



- Manage pre-IPO structuring, due diligence, corporate restructuring, and regulatory approvals.



- Oversee post-listing compliances, including disclosures, corporate governance, and continuous listing requirements.



- Ensure compliance with import/export laws, DGFT regulations, customs, and trade policies.



- Manage Advance Authorisations, EPCG schemes, and export incentive structures.



- Handle FEMA compliances, including foreign exchange transactions and RBI reporting.



- Manage Overseas Direct Investment (ODI) structures, approvals, filings, and ongoing compliance.



- Ensure compliance with Companies Act, 2013, including board governance and statutory filings.


- Draft, review, and vet IPO documentation, contracts, and legal agreements.



- Manage regulatory interactions with SEBI, stock exchanges, RBI, DGFT, and other authorities.



- Track regulatory changes and ensure timely implementation across the organisation.

Desired Profile:



- Qualified Company Secretary (CS) Mandatory; LLB / LLM preferred.



- 8 - 10 years of experience in legal, regulatory, and compliance roles.



- Must have hands-on experience in filing IPOs (DRHP/RHP) and managing SEBI approvals.



- Strong expertise in capital markets, SEBI regulations, and listing compliances.



- Proven experience in export-import compliance, DGFT regulations, and incentive schemes.



- Hands-on experience in FEMA and ODI structures and filings.


- Experience in manufacturing, export-oriented, or pre-IPO / listed companies preferred.



- Ability to independently manage regulators, advisors, and senior stakeholders.
