About the Role
Bombay Mercantile Cooperative Bank Ltd (a Scheduled Bank) headquartered at Mumbai invites application for the post of Managing Director of the Bank. 1. Job profiles and competency/skill requirements: The Managing Director is a member of and simultaneously report to the Board of Directors. The MD is responsible for the overall strategic . operational performance of the Bank and the achievements of the Bank's growth and Profitability agenda. The Managing Director is also responsible for the day to day operations of the Bank. The MD's responsibility also extends to the effective management of the enterprise in fulfilment of the declared objectives and within the framework of the policy laid down by the board. This is an executive responsibility which is summarised in the following major items :
Duties . Responsibilities:
(i) To establish vision, mission, and values in consultation with Board of Directors
· To determine the bank's vision and mission to guide and set the pace for its
current operations and future development.
· To determine the values to be promoted throughout the organisation.
· To determine and review organisation's goals.
· To determine bank's policies.
(ii) To set strategy and structure
· To review and evaluate present and future opportunities, threats and risks in
the external environment and current and future strengths, weaknesses and
risks relating to the organisation.
· To determine strategic options, select those to be pursued, and decide the
means to implement and support them.
· To determine the business strategies and plans that underpin the corporate strategy.
· To ensure that the organisational structure and capability are appropriate for
implementing the chosen strategies.
(iii) To monitor and control
· To delegate authority to management, and monitor and evaluate the
implementation of policies, strategies and business plans.
· To determine monitoring criteria to be used by the Board.
· To ensure that internal controls are effective.
· To communicate with senior management.
(iv) To exercise accountability to shareholders and responsibility towards the
Stakeholders
· To understand and take into account the interests of shareholders and other
stakeholders.
· To monitor relations with shareholders and other stakeholders by gathering
and evaluation of appropriate information.
· To promote the goodwill and support of shareholders and other stakeholders
· Responsible for ensuring that proper books of account are kept.
· Must act in good faith in what they honestly believe to be the best interests of
the bank, and not for any collateral purpose.
· Must act with due skill and care.
· Must consider the interests of employees of the bank.
Any other responsibilities/duties assigned by the Board from time to time.
Eligibility Criteria :
1. The person shall be a graduate, preferably, with
a) Qualification in banking/ co-operative banking such as CAIIB / Diploma in Banking
b) and Finance / Diploma in Co-operative Business Management or equivalent
c) qualification; or
d) Chartered / Cost Accountant / MBA (Finance); or
e) Post graduation in any discipline.
2. The person shall not be below the age of 35 years and above the age of 70 years
at any time during his/ her term in office. However, within the overall limit of 70 years, as
part of their internal policy, individual bank's Boards are free to prescribe a lower
retirement age.
3. The person shall have a combined experience of at least eight years at the middle
/ senior management level in the banking sector (including the experience gained in the
concerned UCB) or non-banking finance companies engaged in lending (loan companies)
and asset financing.
4. Knowledge of regional language may be considered as an advantage.
Propriety Criteria
1. The person shall not
A. be engaged in any other business or vocation;
B. be holding the position of a Member of Parliament or State Legislature or Municipal
C. Corporation or Municipality or other local bodies;
D. be a director of any company other than a company registered under section 8 of the
E. Companies Act, 2013;
F. be a partner of any firm which carries on any trade, business or industry;
G. have substantial interest in any company or firm as defined in Section 5(ne) read with
H. section 56 of the Banking Regulations Act, 1949;
I. be a Director, Manager, Managing Agent, partner or proprietor of any trading,
J. commercial or industrial concern;
K. be of unsound mind and stands so declared by a competent court;
L. be an undischarged insolvent;
M. be convicted by a criminal court of an offence involving moral turpitude;
N. be a director of any other co-operative bank or a co-operative credit society.
The person shall submit a self-declaration on personal integrity as per Annex II.
Tenure of MD
REMUNERATION;
· The remuneration will be market competitive . based on seniority, experience and previous CTC.
